近期，湖南富顺金属材料有限公司（FUSHUN METAL）在日常经营与市场排查中发现，存在外部人员冒用公司名义开展业务的严重违规行为：有未在我司在册任职、未获得我司任何书面授权的人员，擅自以我司员工、业务代表或合作方名义，对外开展业务洽谈、签订购销合同、收取货款定金、承诺供货服务、去其他公司应聘等各类经营活动，甚至伪造我司资质证书与印章从事虚假合作。此类冒用公司名义的行为严重扰乱了市场经营秩序，损害了我司品牌声誉与合法权益，亦极易给广大客户及合作伙伴造成经济损失与合作困扰。为切实维护各方利益、厘清权责边界、避免不必要的损失，我司特此发布郑重通知。

各位新老客户、合作伙伴及社会各界朋友：

一、明确权责界定——冒用公司名义的非授权行为与我司无关

凡未与我司签订正式劳动合同、未持有我司加盖公章有效授权委托书的人员，其以湖南富顺金属材料有限公司名义实施的一切行为，均属个人擅自行为，与我司无任何关联。我司对上述人员的所有言行、签订的协议、收取的款项及由此产生的一切纠纷与损失，不承担任何法律责任与经济责任，请各位客户务必提高警惕，切勿轻信。

二、客户防范提醒——谨慎核实合作主体身份，防范冒名欺诈

为规避合作风险，恳请各位客户、合作伙伴在与我司开展业务往来时，切勿通过私人微信、私人电话、非官方渠道贸然合作或支付款项，务必严格完成以下三项核实工作：

• 核实工作人员身份：要求对方出示我司正式工牌及加盖公章的业务授权书，逐一核对人员姓名、职务与授权范围。如有疑问，可随时通过官方电话致电我司核实真伪。
• 核对合作文件效力：我司所有正式购销合同、合作协议、报价单及收款凭证，均须加盖我司在公安机关备案的合法公章或合同专用章，并经我司指定负责人签字确认。无公章或使用私刻印章的文件一律无效。
• 认准官方对公收款账户：我司所有业务款项均通过公司对公账户收取，严禁任何个人以私人账户代收货款、定金或保证金。请切勿向私人账户转账汇款，一旦操作概不退还责任不属我司。

三、如遇冒用公司名义情况，请通过以下官方渠道核实确认

对于任何冒用我司名义开展虚假经营、实施侵权欺诈的单位或个人，我司已固定相关证据，将依法采取包括提起法律诉讼、向公安机关报案、向市场监管部门举报在内的一切必要措施，坚决追究其全部法律责任，绝不姑息。

若各位客户因轻信冒用人员而遭受经济损失，建议第一时间保留聊天记录、合同文件、转账凭证等关键证据，及时向当地公安机关报案，以切实维护自身合法权益。

Hunan Fushun Metal Co., Ltd. (Fushun Metal) has recently identified a serious issue of unauthorized use of company name by external individuals. These individuals — who are neither registered employees of our company nor hold any written authorization from us — have fraudulently conducted business activities under the name of our company, including business negotiations, signing purchase and sales contracts, collecting payments and deposits, making supply commitments, and in some cases even forging our credentials and official seals to engage in fictitious cooperation. Such unauthorized use of company name has severely disrupted market order, damaged our brand reputation and legal rights, and may cause significant financial harm to our valued customers and partners. To protect all parties’ interests and clarify the boundaries of rights and responsibilities, we hereby issue the following solemn notice.

To all current and prospective customers, business partners, and friends from all sectors:

1. Unauthorized Use of Company Name — Clarification of Rights and Responsibilities

Any person who has not signed a formal labor contract with our company, or who does not hold a valid power of attorney bearing our official seal, and who acts in the name of Hunan Fushun Metal Co., Ltd., is acting entirely on their own account and has absolutely no association with our company. We assume no legal or financial liability whatsoever for any statements made, agreements signed, payments collected, or disputes and losses arising from such individuals. We strongly urge all customers to remain highly vigilant.

2. Customer Safety Reminder — Carefully Verify Business Partner Identities to Prevent Fraud

To mitigate cooperation risks, we sincerely request all customers and partners to strictly complete the following three verifications before engaging in any business with us. Please do not proceed with cooperation or make payments through personal WeChat, personal phone numbers, or any unofficial channels:

• Verify employee identity: Request the counterpart to present our official employee badge and a business authorization letter bearing our official seal. Verify the person’s name, position, and exact scope of authorization. You may contact our official channels at any time to confirm authenticity.
• Verify the validity of cooperation documents: All formal contracts, cooperation agreements, quotations, and payment receipts issued by our company must bear our legally valid official seal or contract seal registered with the public security authority, along with the handwritten signature of our designated responsible person. Documents without an official seal, or bearing a privately forged seal, are entirely invalid.
• Use only our official corporate bank account: All payments must be remitted exclusively to our corporate bank account (对公账户). We strictly prohibit any individual from collecting payments, deposits, or performance bonds through personal accounts. Do not transfer funds to any personal account under any circumstances.

If you encounter any situation suspected to involve unauthorized use of our company name, or if you need to verify the identity of our staff or the authenticity of any cooperation information, please contact us immediately through the following official channels:

4. Legal Accountability for Unauthorized Use of Company Name and Fraudulent Activities

Regarding any individual or entity that impersonates our company to conduct fraudulent business or engage in infringing activities, we have already preserved all relevant evidence and will take every necessary legal measure — including civil litigation, filing criminal reports with public security authorities, and reporting to market supervision departments — to firmly pursue full legal accountability without tolerance or compromise.

If any customer has suffered financial losses due to trusting impersonators, we strongly recommend immediately preserving all available evidence — including chat records, contracts, and payment receipts — and promptly reporting to local public security authorities to protect your legal rights and interests.
